Disclosure of shareholding - Norwegian Finans Holding ASA


 

Cidron Xingu Limited, a company indirectly controlled by Nordic Capital Fund IX
("Nordic Capital"), and Sampo plc ("Sampo"), have on 19 August 2019 together
signed an agreement to acquire 32,623,739 shares in Norwegian Finans Holding ASA
("NOFI"), representing 17.47% of the share capital and the voting rights in
NOFI. The acquisition of 18,619,477 shares (of which 11,851,792 shares,
representing 6.35% of the share capital and the voting rights of NOFI, will be
acquired by Nordic Capital and 6,767,685 shares, representing 3.62% of the share
capital and the voting rights of NOFI, will be acquired by Sampo), representing
9.97% of the share capital and the voting rights of NOFI, is unconditional and
is expected to be completed on or about 26 August 2019 while the acquisition of
the remaining 14,004,262 shares, representing 7.50% of the share capital and the
voting rights of NOFI (of which 8,945,842 shares, representing 4.79% of the
share capital and the voting rights of NOFI will be acquired by Nordic Capital
and 5,058,420 shares, representing 2.71% of the share capital and the voting
rights of NOFI, will be acquired by Sampo) (the "Subsequent Acquisition")  is
subject to the approval of the Norwegian Financial Supervisory Authority. Nordic
Capital and Sampo are deemed to be related parties pursuant to section 2-5 no. 5
of the Norwegian Securities Trading Act. 
After completion of the Subsequent Acquisition, Nordic Capital will own
20,797,634 shares in NOFI, representing 11.14% of the share capital and voting
rights of NOFI, and Sampo will own 11,826,105 shares in NOFI, representing 6.33%
of the share capital and voting rights of NOFI.
